DCPL Terms and Conditions

Welcome to DCPL. These Terms and Conditions govern your access to and use of the DCPL cloud-based business management platform, including all services, applications, software, APIs, integrations, and websites operated by DCPL.

By accessing or using our platform, you agree to comply with and be bound by these Terms and Conditions. If you do not agree with these terms, you should not use the platform.

1. About DCPL

DCPL is a cloud-based business management and automation platform that provides services including but not limited to:

• Point of Sale (POS)

• Inventory Management

• eTIMS Integration

• Invoicing

• CRM & Customer Management

• HR & Payroll Management

• Multi-Branch Management

• Reporting & Analytics

• API Integrations

• Repair & Service Management

2. User Accounts

To access certain services, users may be required to create an account. You agree to:

• Provide accurate and complete information

• Maintain confidentiality of your login credentials

• Be responsible for all activities under your account

• Notify us immediately of any unauthorized access

DCPL reserves the right to suspend or terminate accounts found violating these terms.

3. Subscription and Billing

Some services are provided on a subscription basis. By subscribing:

• You agree to pay all applicable fees

• Subscription charges may recur monthly or annually

• Failure to make payments may result in suspension of services

• Prices may change with prior notice

All payments are non-refundable unless otherwise stated in our Refund Policy.

4. Acceptable Use

Users agree NOT to:

• Use the platform for illegal activities

• Attempt unauthorized access to systems or data

• Upload malicious software or harmful content

• Reverse engineer or copy the platform

• Abuse APIs or integrations

• Use the platform to violate tax or financial regulations

5. Data & Privacy

Users retain ownership of their business data. However, by using DCPL, you grant us permission to process, store, and manage your data for purposes of providing the services.

We implement reasonable technical and organizational security measures to protect your data.

6. eTIMS Compliance

DCPL provides integration tools for eTIMS and other compliance systems. However:

• Users remain solely responsible for ensuring accuracy of tax submissions

• DCPL is not liable for incorrect filings caused by inaccurate user data

• Users must comply with all KRA and applicable legal requirements

7. Availability of Services

While we strive for maximum uptime:

• Services may occasionally experience interruptions

• Maintenance windows may occur

• We do not guarantee uninterrupted availability

DCPL shall not be liable for losses resulting from downtime or technical interruptions.

8. Intellectual Property

All software, branding, systems, designs, logos, and content related to DCPL remain the intellectual property of DCPL unless otherwise stated.

Users may not reproduce, distribute, or resell any part of the platform without written permission.

9. API and Third-Party Integrations

DCPL may integrate with third-party systems including:

• WhatsApp Cloud API

• Payment gateways

• Accounting software

• ERP systems

• Cloud hosting providers

We are not responsible for failures caused by third-party services.

10. Account Suspension & Termination

We reserve the right to suspend or terminate accounts that:

• Violate these terms

• Engage in fraud or abuse

• Fail to pay subscription fees

• Threaten platform security

Upon termination, access to the platform may be revoked immediately.

11. Limitation of Liability

To the fullest extent permitted by law:

DCPL shall not be liable for indirect, incidental, special, or consequential damages including loss of profits, business interruption, loss of data, or tax penalties arising from use of the platform.

12. Indemnification

Users agree to indemnify and hold harmless DCPL, its employees, directors, and partners against claims arising from misuse of the platform or violation of these terms.

13. Changes to Terms

We may update these Terms and Conditions from time to time. Continued use of the platform after updates constitutes acceptance of the revised terms.

14. Governing Law

These Terms shall be governed by and interpreted under the laws of Kenya.
